Insider Filings

NVIDIA insiders sold $1.65 billion in 2026. No one bought.

We pulled every Form 4 that NVIDIA insiders filed with the SEC between January 6 and October 9, 2026 and parsed the transaction tables line by line. The selling is real, but it is concentrated in one director, and the CEO did not sell a single share on the open market.

NVIDIA is the company most tied to the AI build-out, and its insiders are required to report every trade in its stock on SEC Form 4 within two business days. That makes the filings a clean, official record of what the people closest to the AI chip boom did with their own shares in 2026.

How we built the list

We used the SEC's EDGAR submissions feed for NVIDIA (CIK 1045810), downloaded the XML of every Form 4 filed from January 6 to October 9, 2026, and summed each transaction by its SEC code: S for an open-market sale, P for an open-market purchase, F for shares withheld to pay taxes on vesting stock, G for a gift, A for a grant. A script did the parsing; we then checked the largest filings by hand on EDGAR.

The result: 60 Form 4 filings containing 118 open-market sale lines for 7,720,255 shares, worth $1,647,866,148 at the reported prices. The same 60 filings contain zero open-market purchases.

One director, most of the dollars

Director Mark A. Stevens reported 23 sale lines between March 20 and September 18, 2026: 6,343,422 shares for about $1.392 billion. That is $1.39 billion of the $1.65 billion total, or about 84.5% of the dollar value sold by all NVIDIA insiders in the period Context: n=60 Form 4 filings, 118 sale lines · filed Jan 6 to Oct 9, 2026 · SEC EDGAR, our tally · margin: not applicable, full count. The shares were held indirectly, through entities the filings list as trusts and partnerships, and the Rule 10b5-1 box on these filings is not checked.

The single largest filing, submitted on September 2, covers sales from August 31 to September 2: 1,848,501 shares for about $410.8 million. Another filing, on September 22, reports 1,366,000 shares sold on September 18 for about $300.1 million.

The executives sold on autopilot

Every executive sale in the table carries a footnote stating it was made under a Rule 10b5-1 trading plan, a pre-scheduled program adopted months earlier. Ajay Puri's plan was adopted on September 19, 2025. Colette Kress sold under a plan adopted on March 4, 2025, then under a new one adopted on June 16, 2026. Tim Teter's plan dates from May 22, 2026. Plan-flagged sales total about $252.3 million, or roughly 15.3% of the $1.65 billion sold Context: n=60 Form 4 filings, 118 sale lines · filed Jan 6 to Oct 9, 2026 · SEC EDGAR, our tally · margin: not applicable, full count.

What Jensen Huang did

CEO Jensen Huang filed Form 4s in 2026, but none of them contains an open-market sale. His filings show grants in March, shares withheld for taxes in March, June and September, and gifts: 400,000 shares on June 16 and 438,000 shares on September 17, both reported as indirect holdings. After his September 16 tax withholding, the filing shows 70,100,666 shares held directly.

Context: the business behind the stock

These sales happened while NVIDIA reported record AI demand. In its second quarter of fiscal 2027, ended July 26, 2026, the company reported revenue of $96.2 billion and Data Center revenue of $89.0 billion, according to its CFO commentary filed with the SEC on August 26. Insider selling during a boom is common: executives are largely paid in stock and diversify on a schedule. The filings tell you who sold and when, not what anyone expects next.

What it shows / What it doesn't

It shows

  • Who at NVIDIA sold stock on the open market in 2026, how many shares, at what reported prices, and on which dates.
  • That no NVIDIA insider reported an open-market purchase in the 60 filings reviewed.
  • Which sales were made under pre-scheduled Rule 10b5-1 plans and which were not flagged as such.

It doesn't show

  • Why anyone sold. Form 4 does not require a reason, and selling can reflect taxes, estate planning or diversification.
  • Total wealth or remaining exposure. Insiders also hold options, unvested stock and shares in entities not shown on every filing.
  • Anything improper. These are routine, publicly filed disclosures, and nothing in them indicates wrongdoing.
  • Trades by insiders after October 9, 2026, or filings amended later.

Why it matters

For traders who follow insider data, NVIDIA's 2026 filings are a reminder to look past the headline total. A single director accounts for about 84.5% of the dollars sold Context: n=60 Form 4 filings, 118 sale lines · filed Jan 6 to Oct 9, 2026 · SEC EDGAR, our tally · margin: not applicable, full count, most executive sales were pre-scheduled, and the CEO sold nothing on the open market. Read the footnotes before reading the number.
